London Civic Forum Extraordinary General Meeting
Date: 20th June 2011
Time: 6.30pm
Venue: The Friends’ Meeting House, 173 Euston Road, London NW1 2BJ
The purpose of this meeting is to consider a Special Resolution to extend the term of office of Council Members and Executive Members for up to a further 12 months.
LCF have recently been awarded a grant from the Transition Fund. This is a new government fund, to enable organisations who are losing public funding to change to be more sustainable in a new environment with less public funding available. Under this fund, over the next 10 months, LCF must develop a new business model, restructure governance arrangements and recruit new trustees.
LCF’s biennial elections to the Council and Executive, are due this summer and the Executive Committee have decided it would not be appropriate to hold elections during or in advance of the conclusion, of the transition work. Any alteration of, or departure from, the Articles of Association, such as suspending elections, requires the passing of a Special Resolution at an EGM.
If the Special Resolution is adopted, it will give the present teams (Council and Committee) ample time to deal with the tasks in hand. The alternative, i.e. holding the elections, might involve new members less familiar with the issues, and less time within which to resolve them. The Executive Committee would therefore urge members to vote in favour of this Special Resolution. While much of the transition work will build on the Review carried out last year, there will be engagement with Members, and further details of the work planned will be given at the EGM.
